1. Introduction
Welcome to SubstantAI (“we,” “us,” “our,” or “SubstantAI”). These Terms & Conditions (“Terms”) govern your (“you” or “User”) use of our services, including any personalized business development briefs, analytics, or other content we provide (the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
2. License and Access
1. Single-User License
- SubstantAI grants each User a non-exclusive, non-transferable, revocable, single-user license to access and use the Services.
- This license is intended for individual use and may not be shared with other individuals (inside or outside your organization), except as expressly permitted in these Terms.
2. Restriction on Sharing
- You may verbally discuss insights from the brief with team members or colleagues.
- However, you must not share, forward, redistribute, or otherwise provide the entire brief (or substantial portions of it) to others who are not licensed Users.
- Limited sharing of small “nuggets” or brief excerpts is allowed for collaboration, but any excerpt must be less than 10% of the total content or clearly marked as an excerpt to prevent circumvention of this single-user license.
3. Future Team Subscriptions
- We may, in the future, offer multi-user or enterprise subscriptions (“Team Subscriptions”). Such offerings would be subject to separate or additional terms. Until then, each User must maintain an individual subscription to the Services.
4. Personalized Content
- The briefs may include personal details, usage data, or other individualized insights. Such personalization is one reason we require a per-seat license.
- SubstantAI reserves the right to track usage statistics to ensure compliance with our single-user license model.
3. User Conduct and Responsibilities
1. Prohibited Activities
- You must not: Transfer or sell your access credentials to any other person or entity. Reverse engineer, disassemble, or otherwise attempt to derive the source code or any trade secrets from the Services. Use the Services in violation of any applicable law or regulation.
2. Enforcement and Penalties
- Unauthorized Sharing: If we determine you have shared your login credentials or substantially distributed content in violation of these Terms, we reserve the right to immediately suspend or terminate your account.
- Additional Damages: We also reserve the right to pursue monetary damages or other remedies under the law for any breach related to unauthorized sharing, copying, or distribution of our proprietary content.
4. Intellectual Property
1. Ownership
- Unless otherwise noted, all content provided by SubstantAI, including but not limited to text, graphics, data, and analytics (“SubstantAI Content”), is owned by SubstantAI or its licensors.
- You have a limited, revocable right to use the SubstantAI Content only for your own internal business development and reference purposes.
Proprietary Rights and Restrictions
- The SubstantAI Content is protected by intellectual property laws and treaties.
- You may not reproduce, transmit, distribute, or create derivative works of the SubstantAI Content without prior written consent, except for minor excerpts as permitted in Section 2.2 above.
2. Future Proprietary Data
- Our Services currently rely primarily on publicly available LinkedIn signals.
- Over time, we may incorporate proprietary or third-party licensed data into the briefs, which remains covered under our intellectual property provisions.
5. AI Disclaimer and Accuracy of Information
1. AI-Generated Content
- Some or all of the SubstantAI Content is AI-generated and is provided “as is.”
- While we strive to use advanced algorithms and maintain accuracy, we cannot guarantee the completeness, timeliness, or accuracy of the generated information.
2. No Liability for Business Decisions
- You acknowledge that any business decisions or actions you take based on the SubstantAI Content are your own responsibility.
- SubstantAI disclaims all liability for any losses, damages, or claims arising from your use of the Services or any decisions made in reliance upon the information provided.
6. Subscription, Payment, and Renewal
1. Subscription Plans
- We offer monthly or yearly subscription plans (“Subscription”) with auto-renewal at the end of each billing cycle.
- The specific fees, term lengths, and renewal policies are detailed at checkout or on our website.
2. Cancellations and Refunds
- You may cancel your Subscription at any time.
- Cancellation becomes effective at the end of your current billing cycle unless otherwise agreed.
3. Auto-Renewal Notice
- We will provide you with at least one (1) week advance notice of upcoming auto-renewal.
- It is your responsibility to keep your payment information up to date.
4. Late Payments
- If your payment method fails and you do not rectify the situation within 7 days of notification, SubstantAI may suspend or terminate your access to the Services.
- We may also charge late fees or interest on overdue amounts at the maximum rate permitted by applicable law.
7. Data Protection and Privacy
1. Personal Data Collection
- We collect personal data, such as names, emails, and billing information, to provide and personalize the Services.
- By using our Services, you consent to such data collection and use.
2. Compliance with Privacy Regulations
- We comply with the General Data Protection Regulation (GDPR) and relevant Data Privacy Acts as applicable.

3. Security
- We implement standard security measures to protect your data from unauthorized access or disclosure. However, we cannot guarantee absolute security given the inherent risks of data transmission over the internet.
8. Termination
1. Termination by You
- You may terminate your Subscription by canceling as described in Section 6.2.
- Your rights to access the Services end at the conclusion of your billing cycle unless otherwise agreed.
2. Termination by SubstantAI
- We may suspend or terminate your account at any time if we determine you have violated these Terms, including unauthorized sharing or non-payment.
- Upon termination, your license to use the SubstantAI Content terminates immediately.
3. Effect of Termination
- You will not receive a pro-rata refund.
- SubstantAI may retain any aggregated or anonymized data derived from your usage for internal business purposes.
9. Limitation of Liability
1. Maximum Liability
- To the fullest extent permitted by law, in no event shall SubstantAI’s total liability exceed the amounts paid by you to SubstantAI in the six (6) months preceding the event giving rise to the claim.
2. Exclusion of Certain Damages
- SubstantAI will not be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including loss of profits, revenue, or data.
10. Governing Law and Dispute Resolution
1. Governing Law
- These Terms shall be governed by the laws of Switzerland, without regard to its conflict of law principles.
2. Dispute Resolution
- Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled preferably by mediation.
11. Changes to These Terms
1. Updates
- We may update these Terms from time to time to reflect changes in our practices or legal requirements.
- Material changes will be posted on our website or communicated to you via email.
2. Acceptance of Changes
- Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.
